Terms of Service
Effective Date: August 2015.
These Terms of Service outline the agreement between Francesca McGarey Consulting Ltd (“we”, “us”, “our”) and the client (“you”, “your”) for all consulting, strategy, brand experience, design, digital product development, workshops, training, speaking, AI advisory and related services.
By engaging our services, paying an invoice, signing a proposal or statement of work, or participating in any project with us, you agree to be bound by these Terms.
1. Scope of Services
We provide a range of professional services including (but not limited to):
Brand experience strategy
UX, UI and CX consulting
AI and AI ethics advisory
Marketing, brand and content strategy
Creative direction and design
Digital product and course development
Podcast design and development
Workshops, training and speaking
Business and growth strategy
All services will be detailed in a written proposal, statement of work (SOW) or email agreement.
2. Fees and Payment
2.1 Payment Terms
All fees are quoted in GBP unless stated otherwise.
Payment may be requested upfront, monthly, in milestones or as a one off project fee depending on the service.
Payment schedules will be confirmed in writing prior to project commencement.
2.2 Non Refundable Fees
All fees are strictly non refundable.
When you commit to working with us, we reserve project time, team resources and delivery capacity specifically for you. If you choose to discontinue the project or experience a change in circumstances, the full agreed fee remains payable.
2.3 Late or Failed Payments
If a payment fails due to insufficient funds or client error:
A daily administrative fee of £5 may be applied until the balance is settled.
Continued non payment may result in suspension of all work until cleared.
You remain responsible for the full contracted amount.
3. Project Timelines, Client Responsibilities & Delays
3.1 Timelines
We will provide estimated timelines for project delivery. Timelines depend on:
the scope of work
client responsiveness
provision of required information, assets and approvals
Delays caused by the client may extend delivery timelines.
3.2 Client Responsibilities
You agree to:
Provide timely feedback and approvals
Share accurate and complete information
Supply required assets before work begins
Respond to communication within reasonable timeframes
Failure to provide these may cause project delays for which we are not responsible.
3.3 Paused Projects
If a project becomes inactive for 14+ days due to lack of client response, we may:
pause the project
reschedule it based on new availability
charge a restart fee
or close the project without refund
4. Cancellations, Rescheduling & Scope Changes
4.1 Cancellations
You may cancel a project at any time.
However, all fees are still due in full and non refundable.
4.2 Rescheduling
For 1:1 sessions, workshops or calls:
Rescheduling requires at least 24 hours’ notice
Sessions cancelled within 24 hours may be forfeited
4.3 Scope Changes
Any additional requests, features, revisions or deliverables not stated in the original agreement:
will be quoted separately
may require a new SOW
may extend timelines
5. Communication
We communicate primarily via email, project management tools, Zoom or other digital platforms.
You agree to maintain open and timely communication throughout our engagement.
If concerns arise, you agree to notify us directly so we can address them collaboratively.
6. Digital Delivery & Remote Work
As a remote first consultancy:
All work is delivered digitally
Sessions, workshops and strategy calls are conducted via Zoom or an equivalent platform
You are responsible for ensuring a stable internet connection for sessions or digital reviews
7. Workshops, Speaking & Events
If booked for workshops, training or live events:
Travel costs (if applicable) will be invoiced separately
Event dates are not confirmed until payment is received
Cancellations with less than 14 days’ notice may incur full fees
8. Confidentiality
We take confidentiality seriously.
All information shared with us remains confidential unless:
you give written permission to share it
we are legally required to disclose it
You agree to maintain confidentiality regarding any proprietary processes, systems, or insights we provide.
9. Intellectual Property
9.1 Our IP
All methodologies, frameworks, processes, presentations, templates, materials and systems remain our intellectual property.
You may not:
reproduce
sell
license
distribute
publish any of our materials outside your own business use.
9.2 Project Deliverables
Once final payment is received, you receive a commercial licence to use the final deliverables for your business.
Drafts, working files, raw assets and unused creative remain our property unless otherwise agreed.
10. Ethical and Legal Boundaries
10.1 AI Ethics
Where AI advisory is provided:
We encourage responsible, transparent and ethical use
You remain legally responsible for how AI tools and outputs are used in your business
10.2 No Guarantees
We cannot guarantee specific outcomes such as revenue increases, media results, or audience growth.
Marketing, brand experience and strategy outcomes depend on many variables outside our control.
11. Liability
You acknowledge that:
Business decisions are your responsibility
You are responsible for assessing risks and implementing changes
We are not liable for financial loss, business interruption or damages arising from our work
You agree to indemnify us against any claims that arise from:
your use of our services
your decisions
your interpretation of our advice
12. Termination
We may terminate the agreement if:
you fail to pay on time
you breach these Terms
unethical or unsafe conduct occurs
the relationship becomes unworkable
All fees remain payable in full.
13. Governing Law
These Terms are governed by the laws of England and Wales, unless otherwise specified.
14. Acceptance of Terms
By paying an invoice, signing a proposal, booking a session, or using our services, you confirm that you have read, understood and agreed to these Terms of Service.
